Welcome to MIXR Studio. These Terms of Service ("Terms") govern your access to and use of the MIXR website, applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
MIXR Studio ("Service") is a digital business card and microsite platform that enables registered users ("Users") to create AR-enhanced digital business cards, public microsites, and lead-capture forms. The Service includes: (a) public-facing microsites accessible by any person worldwide without authentication ("Visitors"); (b) augmented reality (AR) experiences delivered via third-party AR infrastructure; (c) a CRM and contact management system; (d) AI-assisted business card scanning; (e) analytics tracking of Visitor activity; and (f) optional NFT minting and blockchain features. The Service is operated by MIXR Studios, LLC, 1143 Vine St., Los Angeles, CA 90038.
You must be at least 13 years of age to use the Services. By creating an account, you represent that you are 13 years of age or older. If you are under 18, you represent that you have obtained parental or guardian consent. MIXR Studios does not knowingly collect personal information from children under 13. If we learn a user is under 13, we will terminate the account and delete associated data.
When you create an account, you must provide accurate and complete information. You are solely responsible for all activity that occurs on your account and must keep your password secure. You must notify us immediately of any unauthorized use of your account.
If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
MIXR Studio is currently provided as a "Beta" version. The Services are still in active development. We do not guarantee that the Beta Services will be fully functional, error-free, or securely preserve all of your data. We may significantly alter, suspend, or discontinue any aspect of the Beta Services at any time without notice.
MIXR Studio provides a feature allowing authenticated Users to photograph a physical business card and extract contact information using AI optical character recognition ("Card Scanning").
Data Transmission. The image you capture is converted to a base64-encoded JPEG and transmitted from your device to MIXR Studios' servers. MIXR Studios then transmits this image data to OpenRouter, Inc. (openrouter.ai), an AI API intermediary. OpenRouter routes the request to the Gemini 2.5 Flash Lite model operated by Google LLC. The image is processed to extract text fields including name, job title, company, email address, and phone number.
Third-Party Personal Data. The business card you scan contains the personal information of a third party. By using Card Scanning, you represent that you have lawful authority or a legitimate business purpose to process that person's information. You are responsible for complying with applicable privacy laws regarding scanned contact data.
Retention by AI Providers. Images and extracted data may be temporarily retained by OpenRouter and Google per their own privacy policies. MIXR Studios does not store card images after the API call completes.
BIPA Notice. If you are located in Illinois or scanning cards of Illinois residents, Card Scanning may implicate the Illinois Biometric Information Privacy Act (BIPA). MIXR Studios does not store biometric identifiers; image data is transmitted to AI providers and not retained by MIXR Studios beyond the API call. Users are responsible for obtaining any required consents under BIPA or similar state laws.
When a User publishes a microsite or digital card, that content becomes publicly accessible to any Visitor at a unique URL without authentication, unless password protection is enabled. By publishing a microsite, you acknowledge that:

The Service integrates the following third-party services, each of which processes data subject to their own terms and privacy policies:
MIXR Studios acts as a data processor with respect to your CRM contacts and microsite Visitor data; you, the User, are the data controller for those individuals. By using the Service, you agree to process personal data only for lawful purposes and in compliance with applicable privacy laws, including providing any required notices to your Visitors and contacts.

All emails are sent via Gmail SMTP infrastructure. MIXR Studios does not sell or share email addresses collected through contact form submissions with third parties except as described in these Terms.
When you store third-party contact data in the CRM (contacts collected from Visitors via microsite contact forms, imported contacts, or card-scan results), MIXR Studios acts as a data processor on behalf of you (the controller). MIXR Studios processes this data only to provide the CRM features and does not use it for any independent purpose.
If you are a business processing your clients' or prospects' data and require a Data Processing Agreement (DPA), contact privacy@mixrstudios.com.
You retain all ownership rights in content you submit ("User Content"). By uploading User Content, you grant MIXR a worldwide, non-exclusive, royalty-free license to use, reproduce, and display the User Content solely in connection with operating the Services. You represent that you have all necessary rights to grant this license and that your User Content will not violate third-party rights.
You agree not to use the Services to:
Sensitive Content: Adult or explicit content is permitted provided it is strictly legal, consensual, and you hold the necessary rights. You are required to use the platform's "Sensitive Content" toggle to warn visitors appropriately.
The Services and all materials therein, including software, images, text, graphics, logos, patents, trademarks, service marks, and copyrights, are the exclusive property of MIXR and its licensors. Nothing in these Terms creates a license in or under any such Intellectual Property Rights.
While basic features of the Beta may be free, MIXR reserves the right to charge fees for certain features. If you upgrade to a paid subscription, you agree to pay all applicable fees and taxes. Subscription fees are billed in advance on a recurring basis. You may cancel at any time; there are no refunds for partially used periods.
MIXR respects the intellectual property of others. If you believe your copyrighted work has been copied in a way that constitutes copyright infringement, submit a written notice to our designated Copyright Agent at hello@mixrstudios.com containing the specific URL, a description of the copyrighted work, and a statement made under penalty of perjury that the information is accurate.
The Services are provided on an "as-is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. MIXR does not warrant that the Services will be uninterrupted, secure, or error-free.
To the maximum extent permitted by applicable law, MIXR, its affiliates, agents, directors, employees, suppliers, and licensors shall not be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, use, data, or other intangible losses. Under no circumstances will MIXR be responsible for damage resulting from hacking, tampering, or unauthorized access to the Services or your account.
You agree to defend, indemnify, and hold harmless MIXR and its subsidiaries, agents, licensors, managers, and affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any right of privacy or Intellectual Property Rights; or (d) your User Content.
For any dispute with MIXR, you agree to first contact us and attempt to resolve the dispute informally. If MIXR has not resolved a dispute with you after sixty (60) days, we each agree to resolve any claim (excluding claims for injunctive or other equitable relief) by binding arbitration by the American Arbitration Association ("AAA"). You and MIXR are each waiving the right to a trial by jury or to participate in a class action.
These Terms shall be governed by the internal substantive laws of the State of California, without respect to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, for any reason including a breach of these Terms. Upon termination, your right to use the Services will immediately cease.
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice. By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised terms.
